1. Introduction:

1.1.              These terms and conditions ("Terms") details and govern the use of the MyComma website (https://www.commaoil.com/mycomma) ("Website") and the MyComma Loyalty Programme ("Programme") organised by Moove Lubricants Limited, a company registered with Companies House under number 02075698 and with registered office at Dering Way, Gravesend, Kent, England, DA12 2QX ("Organiser").

1.2.              Businesses and individuals may register on the Website for creation of an account in accordance with clause 2 below (“Users”). Some Users may also be eligible to become participants in the Programme in accordance with clause 3 below (“Participants”). All Users registering on the Website agree to be bound by these Terms.

1.3.              Registration and access to the Website and Programme is available from 1 October 2024. Access to the Website and participation on the Programme shall be available indefinitely until changed or terminated by the Organiser in its absolute discretion ("Relevant Period").

1.4.              All Users will get access through their respective Website account dashboard to (i) the Ministry of Transport (“MOT”) vehicle data lookup system, (ii) training modules prepared by the Organiser, and (iii) the product catalogue offered by the Organiser.

1.5.              Participants will earn points ("Points") for purchasing qualifying products as specified by the Organiser during the Relevant Period (“Qualifying Comma Products”). A list of Qualifying Comma Products is included as Annex A to these Terms.

1.6.              Points can be redeemed by Participants for prizes available on the Website, subject to availability (“Prizes”), until the Points expire.

2.    Website Registration:

2.1.    The following Users can register to use the Website:
a)    an owner of a workshop incorporated in the United Kingdom and the Republic of Ireland (“Workshops”);
b)    individual professionals with mechanic roles working for Workshops (“Mechanics”); or 
c)    staff (“MF Staff”) of stockiest of vehicle parts and accessories (“Motor Factor”).
2.2.    Users shall validly register for an account on the Website by providing their contact details and respective Workshop or Motor Factor name. Workshops that provide the information detailed in clause 3.2 below may also become Participants in the Programme. 
2.3.    Applicants will also be required to opt on whether they would like to receive marketing communications from the Organiser, and whether they would like their location information to be shared on the Website for the purpose of marketing their business to third parties. Users who agree to the aforementioned may withdraw their consent at any time after registration.
2.4.    The only means to become a User or Participant is through the completion and submission of registration form through the Website. Anyone registering will need to validate their contact information via electronic email before continuing with the registration. No other means of applying for an account on the Website or participation in the Programme will be accepted.
2.5.    Registrations that do not comply with these Terms or the terms of use of the Website (provided on the Website) will be invalid and disregarded.
2.6.    Each User is only entitled to register once for the Website. The Organiser reserves the right to refuse, merge or close additional accounts at any time.
2.7.    If the User has any issues or questions relating to its registration on the Website, it shall contact the Organiser’s Customer Services department on mycomma@uk.moovelub.com.

3.    Programme Eligibility

3.1.    Participation in the Programme is open to all Workshops meeting the conditions set out below. Individual Mechanics and MF Staff will not have access to the Programme.
3.2.    To become a Participant of the Programme, a Workshop (“Applicant”) must:
a)    visit the registration page of the Website (https://www.commaoil.com/mycomma/register);
b)    properly fill in the Applicant registration form, which shall include:
(1)    the Applicant’s contact details;
(2)    the Applicant’s full trading name for their business;
(3)    the full name details of all Motor Factors used by their business (up to five Motor Factor per Participant); and
(4)    the respective account number that the Applicant has with its Motor Factor.
3.3.    Approval of a Workshop as a Participant is conditional on providing at least one Motor Factor for sales data sharing pursuant to clause 4 below. If the Motor Factors selected by the Applicant do not share the Workshop’s sales data with the Organiser, the Workshop will be registered as a User only without access to the Programme. The Applicant will be informed about which Motor Factor is sharing data with the Organiser and which is not.
3.4.    Participants shall keep the Organiser informed of any changes to the information and details provided in the registration form after registration. Failure to provide the details identified in clause 3.2.b). will result in the Applicant not being granted access to its dashboard on the Website and to the Programme.
3.5.    By registering on the Website, the individual filling the registration form warrants and represents that they have full legal authority to represent and bind the Applicant to these Terms.
3.6.    The Organiser reserves the right to cancel, modify, extend or suspend the Programme and these Terms at any time.

4.    Sales Data 

4.1.    By registering on the Website to participate in the Programme, each Participant authorises its Motor Factors to share its sales data relating to Qualifying Comma Product with the Organiser. The Participants agree to the Organiser and Motor Factors using third-party companies to process this sale data for the purpose of running the Programme. Sales data must be provided by the Motor Factors directly to the Organiser, or through third parties selected by the Motor Factors and approved by the Organiser (together, the “Processor”).
4.2.    The sales data relating to purchases of Comma products by the Participant shall be provided by the Motor Factor to the Processor. Participants must ensure that they have provided accurate details relating to their account with the Motor Factor so Organiser can match their sales data appropriately to their account on the Website. By becoming a Participant, the Applicant acknowledges that the Processor will be sharing volume of purchases with the Organiser of any Comma products made by the Participant with their Motor Factor for the purposes of the Programme.
4.3.    Points will be calculated in accordance with clause 5. The Organiser is not responsible for any errors or omissions in the data provided by the Processor or by Motor Factors. The calculation of Points is dependent on the accuracy and completeness of the sales data provided by the Motor Factor. The Organiser will receive sales data from the Processor daily.

5.    Earning Points

5.1.    Participants will earn either 5 (five) or 10 (ten) points for every litre of Qualifying Comma Products purchased, in accordance with Annex A to these Terms. Participants will only accrue Points from sales data relating to Qualifying Comma Product shared with the Organiser by the Motor Factors either directly or via Processors. Any purchases made by Participants from Motor Factors who are not sharing sales data with the Organiser will not be computed for the purpose of accruing points.
5.2.    Points will be attributed to each Participant’s account based on the total litres of Qualifying Comma Products purchased by the Participants informed to the Organiser. Points will be updated and credited to Participants’ accounts within 14 days from the date of purchase of Qualifying Comma Products.
5.3.    Organiser shall not be responsible or liable for Participants missing Points due to a Motor Factor’s failure to provide adequate data to the Organiser. It shall be the responsibility of the Participant to correct any such issues with their respective Motor Factors.
5.4.    Any returns of Qualifying Comma Products made during the 14-day period will be automatically deducted from the final calculation Points before they are credited into the Participant’s account on the Website.
5.5.    Points have no monetary value and cannot be transferred, bought, sold, or in any way traded, and can only be used by the Participant who is named and registered for the Participant account on the Website.
5.6.    Any unused Point will expire after a year of being added into a Participant’s account.

6.    Prizes and Redemption 

6.1.    Participants may redeem Points against certain Prizes. The Participants agree to the Organiser using a third-party company to manage the logistics of Prize availability, selection, and delivery (“Logistics Company”) (not applicable for Prizes delivered in digital means). At present, the Logistics Company contracted by Organiser is Involution Limited, a company incorporated and registered in England and Wales with company number 03833379 and having its registered office at 3 Park Square, Leeds, West Yorkshire, LS1 2NE (“Involution”).
6.2.    Prizes can only be delivered within the United Kingdom and the Republic of Ireland.
6.3.    The Organiser is not liable for the non-availability of any Prizes at the moment of redemption, or any issues that may arise during the Prize redemption or delivery process, unless and to the extent provided in clauses 6.7 and 7 below.
6.4.    Physical goods redeemed as Prizes will be sent to the address registered within the Participant’s account on the Website. Prizes in the format of digital product (such as vouchers) shall be sent to the Participant via the email registered within the Participant’s account on the Website.
6.5.    All redemptions of Prizes are subject to availability and can only be made through the Website and cannot be made through contacting the Organiser or the Logistics Company by any other means.
6.6.    Subject to clause 6.7 below, any redeemed Prize cannot be swapped or returned after the Participant redeems the Prize through the Website. 
6.7.    The Organiser warrants that the Prizes shall meet the specification provided on the Website. Participants shall contact the Organiser’s Customer Services department on mycomma@uk.moovelub.com within 7 days of receiving the Prize if they wish to raise a complaint about the Prize. If in the opinion of the Organiser a Prize does not meet the specification, a substitution may be offered. Alternatively, the Organiser shall arrange the collection of the faulty Prize from the Participant and will credit the respective value of Points in full to the Participant’s account on the Website.
6.8.    Some Prizes may be subject to specific and additional conditions of use (such as vouchers). Participants agree to be bound by such terms and conditions as made available to them upon their redemption.
6.9.    Should the Organiser decide to terminate the Programme, Participants will have 3 months from the date of end of the Programme to redeem Prizes with the Points on their account on the Website.

7.    Liability 

7.1.    The Organiser's liability is limited to the maximum extent permitted by law. Nothing in these Terms shall be construed as limiting or excluding the Organiser’s liability for fraud, death, or personal injury caused by Organiser’s negligence, or any other liability to the extent the same may not be excluded as a matter of law.
7.2.    The Organiser will not be liable for any indirect, incidental, or consequential damages, loss of profits, or other economic loss arising from or in connection with the use of the Website or participation in the Programme. The Organiser total and aggregate liability to each Participant of the Programme arising under or in connection with this agreement, including for any breach of contract, tort, or otherwise as well as any liability for any negligent act or omission howsoever arising shall not exceed the amount of [TBC]. 
7.3.    Any tax which a Participant may be required to pay under the laws applicable to it on any Prizes redeemed pursuant to the Programme shall be the responsibility of that Participant.
7.4.    The Website may be subject to interruptions, delays, or unavailability of the Website or any software used in connection with the Programme that are managed by third-party providers, including but not limited to the Processor and the Logistics Company. This includes any loss of Points, inability to redeem Prizes, or any other consequences arising from such outages. Participants acknowledge that the availability of the Website and related software is beyond the Organiser’s control and agree to hold the Organiser harmless for any issues resulting from third-party outages. 
7.5.    The Organiser shall endeavour to correct any wrong information and provide Participants with the adequate Points and Prizes impacted by outages in a timely fashion. Nonetheless, Organiser shall not bear any liability for the wrongful delivery of Prizes due to inaccurate details provided by Participants.

8.    Force majeure 

8.1.    Organiser shall not be liable for any failure to fulfil any term of these Terms if fulfilment is delayed, hindered or prevented in whole or in part by any circumstances whatsoever which are not within its reasonable control, including but without limitation to the generality of the foregoing:
a)    strikes, lockouts, labour disputes of any kind, partial or general stoppages of labour (including working to rule), refusals to perform any kind of work (whether or not any of the foregoing are lawful, or relate to that party’s own employees or others);
b)    war, hostilities, terrorist activity (actual and/or perceived), or any local, national or international emergency;
c)    any regulation, order or request of, or interference by, or restriction imposed by any international, national, provincial, port or other public authority or any person purporting to act for such authority;
d)    breakdown of or accident to plant, machinery or facilities;
e)    failure of or hindrances to transportation;
f)    failure of or shortage in any of the Organiser’s or Organiser’s contractors supply of Prizes or technology information to maintain the Website; or
g)    the threat or reasonable apprehension of any of the foregoing events.

9.    Amendments and Termination 

9.1.    The Organiser reserves the right to amend these Terms or terminate the Programme at any time with notice to Users. This includes changing the points calculation formula set in clause 4 and any Prizes.
9.2.    Any amendments will be effective upon publication on the Website.

10.    Data Protection 

10.1.    By entering their details, Users consent to the use and processing of their personal and business data by the Organiser, the Processor, and the Logistics Company (“Data Processors”) for the purposes of their use of the Website, administration of the accounts on the Website and of the Programme, as well as for marketing purposes in accordance with the Organiser’s Privacy Policy (available on the Website) and the applicable data protection laws.
10.2.    Further, as Organiser is part of the Moove group, Organiser may disclose Users’ personal data to other Moove entities located around the world. Transfers of personal information within the Moove group are protected by Moove’s global compliance framework which implements appropriate measures and safeguards to ensure an adequate level of data protection wherever data is physically kept.

11.    Viruses 

11.1.    The Organiser does not guarantee that the Website will be secure or free from bugs or viruses. Users are responsible for configuring their information technology, computer programmes and platform in order to access the Website. Users should use their own virus protection software.
11.2.    Users must not misuse the Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. Users must not attempt to gain unauthorised access to the Website, the server on which the Website is stored or any server, computer or database connected to the Website. Users must not attack the Website via a denial-of-service attack or a distributed denial-of service attack. The Organiser may report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing the Users’ identity to them. In the event of such a breach, the Organiser may terminate the Users’ use of the Website immediately.

12.    Intellectual Property

12.1.    The Organiser is the owner or the licensee of all intellectual property rights on the Website and in the material published on it. These rights include, but are not limited to, the design, layout, look, appearance and graphics on and of the Website. Reproduction of these rights without express approval of the Organiser is prohibited. All such rights are expressly retained by the Organiser and nothing in these Terms shall be construed in any way to confer any license or transfer of said rights to Users or any third-party. 
12.2.    Any intellectual property in Prizes owned by third parties remains vested on said third parties. The Organiser gives no warranties relating to third party intellectual property rights on the Prizes.

13.    Warranty Disclaimer

13.1.    Further to the exclusions foreseen in clauses 7.4 (Website), 11.1 (Viruses) and 12.2 (Intellectual Property), the Organiser makes no warranties, whether express or implied, regarding the performance, quality, or fitness for a particular purpose of the Website or the Programme, of any software used in connection with the Programme or by third-parties engaged by the Users, or of any Prizes offered.

14.    Governing Law and Jurisdiction

14.1.    These Terms shall be governed by and construed in accordance with the laws of England and Wales.
14.2.    Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15.    Miscellaneous

15.1.    Users must keep their access details confidential and not pass them on to anyone else. If an User account has been accessed by a third party or if the User has any other indication that its account is being misused, User must notify the Organiser immediately and change its password through the login area. 
15.2.    The Organiser may temporarily disable or suspend the account on the Website if Organiser suspects any wrongful use of the account. The Organiser reserves the right to remove any Points from a Participant’s account which are deemed invalid due to suspected fraudulent activity or in violation of these Terms.
15.3.    From time to time the Website may also include links to other websites. These links are provided for the Users’ convenience to provide further information. They do not signify that the Organiser endorse said website. Organiser shall have no responsibility for the content of the linked website.
15.4.    The Website uses cookies to monitor browsing preferences in accordance with the Cookies Statement provided on the Website. 
15.5.    If any provision of these Terms is found to be invalid or unenforceable, it shall not affect the validity or enforceability of the remaining provisions.
15.6.    These Terms constitute the entire agreement between the parties regarding the use of the Website and participation on the Programme.
15.7.    Users may reach out to the Organiser to discuss any questions relating to the Website or the Programme via email on mycomma@uk.moovelub.com.
